Client Responsibilities

  • Ensure they hold legal rights or permissions for any materials provided to Designing Business

  • Review deliverables within agreed timelines

Failure to provide timely communication, approvals, assets, or required information may delay projects, pause services, or impact deliverables and timelines.

Payments & Billing

Invoices are due according to the payment terms outlined within proposals, invoices, recurring billing agreements, retainers, or contracts.

Failure to submit payment by the stated due date may result in:

  • Project delays

  • Suspension or termination of services

  • Removal of access to deliverables, portals, or materials

  • Cancellation of active work

  • Additional fees where applicable

  • Immediate termination of agreements

Designing Business reserves the right to require deposits, retainers, recurring billing, milestone payments, or full upfront payment depending on the project scope.

Unless otherwise stated in writing, all payments made are non-refundable.

Contracts & Agreements

Additional project-specific terms may be outlined within signed proposals, contracts, onboarding materials, invoices, or recurring service agreements.

In the event of conflict between these Terms & Conditions and an executed client agreement, the signed agreement shall govern.

Electronic signatures and digitally executed agreements shall be considered legally binding.

Confidentiality & Pricing Disclosure

Designing Business respects the confidentiality of client information, business operations, strategies, and internal communications. Information shared during the course of a project will not be publicly disclosed without consent unless required by law.

Clients also agree not to publicly disclose, share, distribute, or discuss:

  • Pricing structures

  • Retainer rates

  • Proposal details

  • Contracts or agreements

  • Internal systems or workflows

  • Proprietary processes

  • Strategic materials

  • Private business information shared by Designing Business

All pricing structures, systems, templates, processes, workflows, and strategic materials provided by Designing Business are considered proprietary business information.

Violation of confidentiality expectations, including unauthorized disclosure of pricing or internal business information, may result in:

  • Immediate termination of services

  • Revocation of portal or member access

  • Cancellation of active projects

  • Immediate payment of any remaining balances owed under active agreements

Designing Business reserves the right to pursue additional remedies where applicable under Illinois law.

Intellectual Property

Unless otherwise agreed in writing:

  • Designing Business retains ownership of all original concepts, drafts, strategies, templates, systems, workflows, processes, creative methodologies, and internal materials developed during the course of a project.

  • Clients retain ownership of their existing trademarks, logos, and previously owned assets provided prior to engagement.

Final approved deliverables intended for client use may be transferred upon full payment.

Designing Business reserves the right to display completed work, campaign examples, branding projects, website designs, testimonials, portfolio examples, analytics highlights, or creative samples within marketing materials, presentations, portfolios, social media, and promotional content unless otherwise agreed upon in writing.

Revisions & Scope Changes

Project scope, revisions, deliverables, timelines, and included services are determined by the agreed proposal or service package.

Requests outside the original scope, excessive revisions, rush requests, expanded deliverables, additional consultations, or additional strategy work may result in revised timelines and additional fees.

Third-Party Platforms

Designing Business may work with, integrate with, or provide recommendations involving third-party platforms including but not limited to:

  • Meta platforms

  • Instagram

  • Facebook

  • TikTok

  • Pinterest

  • Squarespace

  • Shopify

  • HoneyBook

  • Google

  • Canva

  • Email marketing platforms

  • Analytics software

  • Scheduling platforms

  • Advertising platforms

  • Payment processors

Designing Business is not responsible for outages, account restrictions, platform policy changes, algorithm updates, technical failures, security breaches, functionality issues, or disruptions caused by third-party platforms.

Clients acknowledge that platform performance, availability, and policies remain outside the control of Designing Business.

Results Disclaimer

While Designing Business works strategically to support marketing performance, visibility, and business growth, we do not guarantee specific results including but not limited to:

  • Revenue increases

  • Sales performance

  • Lead generation

  • Viral content

  • Follower growth

  • Engagement metrics

  • Search rankings

  • Advertising performance

Marketing and creative results vary based on numerous external factors including industry conditions, budgets, timing, audience behavior, platform algorithms, competition, and market trends.

Creative Services & Subjective Interpretation

Client acknowledges that marketing, branding, content creation, graphic design, advertising, creative strategy, and related creative services are inherently subjective in nature.

Designing Business makes reasonable efforts to align deliverables with the client’s stated goals, preferences, brand direction, and approved scope of work. However, individual opinions, aesthetic preferences, interpretations, and creative perspectives may vary.

Dissatisfaction based solely on subjective preference, stylistic interpretation, personal opinion, or creative direction shall not constitute negligence, misconduct, breach of agreement, or grounds for reputational claims against Designing Business, its contractors, employees, affiliates, or creative partners.

Designing Business reserves the right to utilize independent contractors, freelancers, consultants, employees, or third-party creative professionals as necessary to complete project deliverables and services.

While Designing Business strives to maintain professional standards and quality control, the Company does not guarantee that all creative work, strategies, or deliverables will align perfectly with every subjective expectation or preference.

Clients agree that subjective disagreement regarding creative work does not constitute evidence of incompetence, professional misconduct, or poor business practices.

Client Portal & Member Access

Clients may receive access to private portal areas, documents, discounts, resources, member-only content, or internal materials provided by Designing Business.

Portal access is intended solely for the authorized client and may not be shared, copied, distributed, transferred, or publicly disclosed without written permission.

Designing Business reserves the right to revoke portal access at any time due to:

  • Nonpayment

  • Contract termination

  • Confidentiality violations

  • Misuse of portal resources

  • Unauthorized sharing of protected materials

  • Conduct deemed harmful to the business or its clients

Limitation of Liability

Designing Business shall not be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages arising from:

Termination

Designing Business reserves the right to terminate services, contracts, communications, portal access, or working relationships at any time for:
